1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of Walley ("Walley," "we," "us," or "our"), including our website, web application, and mobile applications (collectively, the "Service").

By creating an account or using Walley, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of Service

Walley is a personal wallet application designed to help individuals track income, expenses, bills, budgets, and accounts. The Service is available on web and mobile platforms and includes features such as:

• Transaction tracking and categorization
• Receipt scanning and automated data extraction
• Analytics, reports, and data export
• Budget and bill management
• AI-powered tools, including receipt processing, spending insights, a data-entry assistant, and expense summaries, as described on our website and within the app

3. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use Walley. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into a binding agreement.

4. Account Registration

To use Walley, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us immediately at support@walley.app if you suspect unauthorized access to your account.

5. Subscription, Free Trial, and Billing

Walley is a paid subscription service. There is no permanent free tier.

Free Trial

New subscribers may receive a 2-week free trial. During the trial period, you will not be charged if you cancel before the trial ends. After the trial period, your selected subscription plan will begin unless you have cancelled.

Subscription Plans

After your free trial, the following subscription options apply:

• Monthly: $1.99 per month, billed monthly
• Annual: $19.99 per year, billed annually

Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. Payment will be processed through the applicable app store or payment provider when billing is enabled.

Price Changes

We may change subscription prices with reasonable advance notice. Existing subscribers will be notified in accordance with applicable app store or payment provider policies.

Refunds

Refunds are subject to the policies of the platform through which you subscribed (e.g., Apple App Store, Google Play Store) unless otherwise required by applicable law.

6. Cancellation

You may cancel your subscription at any time through your account settings or through your app store's subscription management. Upon cancellation, you will retain access to Walley until the end of your current billing period or free trial. We do not provide refunds for partial billing periods unless required by law.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Upload malware, viruses, or harmful code
• Interfere with or disrupt the integrity or performance of the Service
• Use Walley as your sole system of record for business-critical accounting, tax filing, or legal compliance without independent verification
• Resell, sublicense, or commercially exploit the Service without our written consent

8. Your Data and Content

You retain ownership of the financial data and content you enter into Walley. By using the Service, you grant us a limited, non-exclusive license to store, process, and display your data solely for the purpose of providing and improving Walley, including processing receipts and transactions through our AI and automated systems.

You are solely responsible for the accuracy of the data you enter and for maintaining your own backups of important financial records.

9. AI Features Disclaimer

Walley's AI-powered features — including receipt processing, spending insights, categorization suggestions, natural-language data entry, and expense summaries — are provided for informational convenience only.

Walley is not a bank, financial advisor, tax advisor, accountant, or investment service. AI-generated outputs may contain errors. Do not rely on Walley as your sole record for tax, legal, audit, or investment decisions. Always verify important financial figures independently.

10. Not a Financial Institution

Walley does not hold funds, provide banking services, issue payment cards, or connect to bank accounts for live transaction synchronization unless explicitly stated in the app. Account balances and transaction records in Walley reflect data you enter manually or import — they are not verified against financial institutions.

11. Intellectual Property

The Walley name, logo, design, software, and all related intellectual property are owned by us or our licensors. We grant you a limited, non-transferable, revocable license to use the Service for your personal, non-commercial purposes in accordance with these Terms.

You may not copy, modify, distribute, reverse engineer, or create derivative works of the Service without our prior written permission.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that AI-generated outputs will be accurate or complete.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WALLEY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY US DOLLARS ($50).

14. Indemnification

You agree to indemnify, defend, and hold harmless Walley and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

We may suspend or terminate your access to Walley at any time if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. You may delete your account at any time.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email, in-app notice, or by posting the updated Terms on this page. Your continued use of Walley after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the courts located in that jurisdiction, unless applicable law requires otherwise.
